Security Token Offerings (STOs) and the Traditional Stock Market

There’s a good chance security tokens will change the way we look at the stock market in the very near future. Just like owning shares in a company by buying its stock, security token offerings create the ability to own fractionalized shares of any asset on the blockchain in a process known as tokenization. Besides the ability to trade 24/7, the best part of the concept of tokenizing assets is that in that process, you unlock liquidity – and investors love that! Big time investor houses are starting to notice security tokens. Purchasing these offerings provides investors with the same…

Proposed Rule Amendment May Shift How the SEC Perceives Security Token Offerings

Businesses seeking to crowdfund via security token offerings (STOs) may soon get some relief from regulatory requirements The Securities and Exchange Commission (SEC) recently proposed amending its capital formation rules for early stage startups. If adopted, the rule changes would raise the cap on the amount companies can raise to $75 million from $50 million for Regulation A+ security offerings and to $5 million from $1 million for Regulation CF (crowdfunding) deals. It all stems from the Jumpstart Our Business Startups (JOBS) Act of 2012, which allows companies to raise funds from the public without having to register as a…

Why Real Estate Investors Don’t Like Syndications: Enter Tokenization!

There’s nothing like investing in commercial real estate. So many dream of owning large office buildings, medical complexes, retail sites, high rise mixed use projects, and multifamily properties. The problem is that most of these people don’t have the resources to take down any of these projects on their own, as many project developments run into the hundreds of millions of dollars. So how can investors still take part in these deals? The answer is through real estate syndication. With a top-level view of a syndicate, the real estate “sponsor” finds the property, sets up all the offering documents, then…

Why Hire a Blockchain Security Token Offering (STO) Consultant

The JOBS Act has given birth to a variety of new ways for businesses of all sizes to begin crowdfunding with many “out of the box” strategies. As such, Security Token Offerings (STO) are beginning to stand out as the darling of the ball. STO’s differ from ICO’s (initial coin offerings) in that security token offerings have legal and compliance issues that issuers must adhere to, including proper and ongoing “Know Your Customer” and “Anti-Money Laundering” (KYC/AML) compliance, which drastically reduces the possibility of fraud. There are no shortcuts with creating Security Token Offerings. Companies seeking to raise money via…

Is Tokenization and Security Token Offerings the Future for Pro Athletes and Sports Stars?

Don’t look now, but professional athletes are starting to look into tokenizing their contracts. In fact, Brooklyn Nets point-guard Spencer Dinwiddie is doing just that – he’s creating a Security Token Offering (STO) secured by the terms of his contract and in effect, creating the sports world’s first digital investment. By doing this, Dinwiddie is leveraging his up-front lump sum dollar amount via his STO, which will allow him to use the money raised with his tokenization efforts to fund other investments now. Investors in his STO will receive principle and interest payments covered by the longer-term payout provided by…
